1Summary

Running a legal department is a leadership job as much as a legal one — a director has to weigh administrative law's reach into an organisation's day-to-day operations, decide how far internal rules can diverge from the rules that bind individuals, and keep contract and dispute risk under control at the same time. This course is built around that dual role.

Administrative law itself sits at the centre of the discussion: how it governs the organisation, activity and resources of public administration, how it differs across countries in structure and philosophy, and where it intersects with the disputes a legal director is expected to manage. The result is a programme that pairs legal-system fundamentals with the contract, negotiation and consultation skills a director uses every day.

  • The concept of legal management, and legal provisions: definition, interpretation and importance.
  • The principles of legal interpretation.

Module 2: Legal Memoranda, Drafting and Consultation

  • Applications and examples in writing legal memoranda, and skills and methods of legal drafting.
  • Stages and mechanisms for preparing legal advice, and an intensive study of the legal sciences.

Module 3: Contracts and Negotiation at the Director's Desk

  • Contract preparation and conclusion skills.
  • Negotiation and dispute-resolution skills, persuasion techniques, and drafting documents, memoranda and statements of various kinds.

Module 4: Specifications, Tenders and Contractual Risk

  • Writing and analysing contract specifications and procurement processes.
  • The legal importance of specifications and their relation to the "invitation to tender" process, doubtful and deficient specifications, different types of specifications and related risks, and the impact of language on contractual terms and legal conditions.
